1. INTRODUCTION
1.1. Welcome to Solis Natural B.V. ("Solis Nature”," "we," "us," or "our"), a company registered in the Netherlands and includes its holding company, affiliates and group companies. Solis Nature operates the website located at www.solisnature.com (the "Site"), providing a platform for nature-centric properties, including listings for short-term stays, sales, and related services. These General Terms of Service (the "General Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User"), and Solis Nature.
1.2. By accessing, browsing, or otherwise using the Site or any of our services, you acknowledge that you have read, understood, and agree to be bound by these General Terms, the Solis Nature Privacy Policy, and any other policies, guidelines, or amendments that may be posted on the Site from time to time (collectively, the "Agreement"). If you do not agree with all of these General Terms, you are expressly prohibited from using the Site and must discontinue use immediately.
1.3. The General Terms outline the fundamental obligations and rights applicable to all users of our Site. Specific terms and conditions relating to the nature of your engagement with Solis Nature will be detailed in separate, supplementary terms, which will be incorporated by reference herein. In the event of any conflict or inconsistency between these General Terms and any terms, conditions, or rules imposed by a Host on a User, the terms of this Agreement shall prevail and govern.
2. DEFINITION
2.1. “Agreement” collectively refers to these General Terms, the Privacy Policy, and any specific terms applicable to your use, as well as any other policies or guidelines posted by Solis Nature.
2.2. “Applicable Law” means all laws, statutes, ordinances, regulations, rules, codes, by-laws, judgments, decrees, orders, governmental directives, and interpretations having the force of law, of any governmental, regulatory, judicial, or local authority, in each case as applicable to the Site, Services, Solis Nature, or the User, including but not limited to the laws of India as specified in the Governing Law section.
2.3. “Content” means, all materials, including but not limited to text, writings, data, graphics, images, audio, video, software, photographs, and other information available on or through the Site.
2.4. “Customer/Guest” means a User who directly or indirectly purchases or books Listings, or otherwise utilizes the Services, for their personal use or for the benefit of their end-customer.
2.5. “Host” means a User who, as the owner, authorized agent, or an authorised representative, offers and makes available Listings for short-term stays, lease, or sale through the Platform, thereby assuming the legal obligations and responsibilities associated with such offering and the use of the Services.
2.6. “Listing” means any property, accommodation, or real estate advertised or displayed, or otherwise made available for the purpose of rent, lease, hire, or outright sale to prospective customers or users via the Platform on the Site.
2.7. “Marks” mean trademarks, service marks, and logos owned or controlled by Solis Nature.
2.8. “Platform” means the website www.solisnature.com, including any associated mobile applications or other digital interfaces as owned and operated by Solis Nature.
2.9. “Privacy Policy” means the policy governing the collection, use, and disclosure of your information by Solis Nature, available on the Site.
2.10. “Services” means any and all services provided by Solis Nature through the Site, including but not limited to property listings, booking functionalities, payment processing, and related support.
2.11. “Site” means the website www.solisnature.com and any related digital properties, media forms, or channels.
2.12. “User” means any individual or entity accessing or using the Site or Services, including but not limited to Hosts and Customers.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1. Minimum Age: The Site and Services are intended solely for users who are eighteen (18) years of age or older. By accessing or using the Site, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding contract with Solis Nature. Minors may accompany a User who is 18 years of age or older, provided they remain under the constant supervision of such eligible User, and the Listing's rules permit occupancy by minors.
3.2. Legal Authority: If you are accessing or using the Site on behalf of an entity, you represent and warrant that you have the legal authority to bind that entity to these General Terms and the entire Agreement.
3.3. Account Creation: To access certain features of the Site or to list, book, or resell properties, you may be required to register for an account. You agree to:
3.3.1. Provide accurate, current, and complete information during the registration process and maintain and promptly update your account information to keep it accurate, current, and complete.
3.3.2. Maintain the confidentiality of your account password and login credentials and be fully responsible for all activities that occur under your account. You agree to immediately notify Solis Nature of any unauthorized use of your account.
3.3.3. Not register for more than one (1) account.
3.4. Account Suspension/Termination: Solis Nature reserves the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof) if any information provided during registration or thereafter is found to be untrue, inaccurate, not current, or incomplete, if you violate any provision of this Agreement or if Solis Nature, in its sole discretion, determines that a breach of this Agreement or any applicable law has occurred or that your continuous use poses a risk of harm to the Platform, business, other Users, or any third parties.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. Unless otherwise explicitly stated, the Site, all Content, Marks, Trademarks and Logos are the proprietary property of Solis Nature , its licensors, or other providers of such material. These are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of The Netherlands or as applicable to it.
4.2. Subject to your compliance with this Agreement, Solis Nature grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content solely for your personal, non-commercial use, or for legitimate business purposes.
4.3. This license does not include any right to:
4.3.1. Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, except as incidentally necessary for your personal, non-commercial viewing, or as expressly permitted under specific terms.
4.3.2. Use any data mining, robots, or similar data gathering and extraction tools.
4.3.3. Use the Site or Content for any commercial purpose other than those expressly approved by Solis Nature in writing.
4.4. You shall not:
4.4.1. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.
4.4.2. Access or use for any commercial purposes any part of the Site or any services or materials available through the Site without explicit written authorization from Solis Nature.
4.5. Solis Nature reserves all rights not expressly granted to you in and to the Site, the Content, and the Marks. Any unauthorized use of the Site or Content may violate intellectual property laws and is strictly prohibited.
5. USER CONDUCT AND PROHIBITED ACTIVITIES
5.1. You agree to use the Site and Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site.
5.2. You expressly agree not to engage in any of the following activities:
5.2.1. Use the Site for any illegal purpose, or in violation of any local, national, or international law or regulation, including but not limited to laws governing intellectual property and privacy.
5.2.2. Engage in any misleading, deceptive, or fraudulent practices, including providing false information, misrepresenting your identity, or attempting to trick or defraud Solis Nature or other Users.
5.2.3. Interfere with or disrupt the integrity or performance of the Site or the data contained therein, including attempting to circumvent, disable, or otherwise interfere with security-related features.
5.2.4. Upload or transmit any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful, or engage in spamming or other forms of unsolicited communication.
5.2.5. Harass, annoy, intimidate, threaten, defame, disparage, or otherwise harm Solis Nature, its employees, or other Users.
5.2.6. Systematically retrieve data or other Content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without express written permission from Solis Nature.
5.2.7. Attempt to impersonate another User or person, or use the username of another User.
5.2.8. Attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Solis Nature server.
5.2.9. Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site, except as permitted by applicable law.
5.2.10. Use the Site or Content for any revenue-generating endeavor or commercial enterprise not expressly approved by Solis Nature.
5.3. Any use of the Site in violation of this Section 5 constitutes a material breach of this Agreement and may result in, among other things, immediate termination or suspension of your rights to use the Site, legal action, and potential civil and criminal penalties.
6. USER-GENERATED CONTRIBUTIONS AND SUBMISSION
6.1. The Site generally does not permit users to directly submit or post content in the form of "Contributions" (e.g., public comments, forums, personal images not related to listings). However, if Solis Nature provides features that allow for such Contributions, you agree that any Contributions you make will comply with the Prohibited Activities outlined in Section 5.
6.2. For Hosts, property descriptions, images, and other listing data provided are considered necessary for the operation of the platform. By providing such data, you grant Solis Nature a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Listing data in connection with the operation of the Site and Solis Nature's business, including for remarketing and promotional purposes with third-party vendors.
6.3. Any feedback, ideas, suggestions, comments, or other information regarding the Site or Services ("Submissions") that you provide to Solis Nature shall be deemed non-confidential and shall become the sole property of Solis Nature. Solis Nature shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions and warrant that such Submissions are original to you or that you have the right to submit them.
7. PAYMENTS, FEES, CANCELLATIONS, AND REFUNDS
7.1. Solis Nature accepts various payment methods as indicated on the Site. By initiating a transaction, you authorize Solis Nature or its third-party payment processors to charge your selected payment method for the total amount of the transaction, including applicable fees and taxes.
7.2. Solis Nature may charge service fees to Users for the use of the Platform and Services. Such fees will be clearly disclosed at the time of booking or listing. All fees are non-refundable unless otherwise expressly stated herein.
7.3. Cancellation policies and eligibility for refunds are determined by the User’s Listing terms set by the Host, as displayed on the Listing page, and will also be a subject to Solis Nature's general cancellation guidelines. You agree to abide by the cancellation and refund policy applicable to your booking. Any refunds will be processed in accordance with the applicable policy and may be subject to processing times.
7.4. If a Host cancels a confirmed booking, Solis Nature may impose a cancellation fee on the booking amount as determined in Solis Nature’s sole discretion. Such fee shall be automatically deducted from the Host’s upcoming payouts, future booking revenues or any other funds held by Solis Nature until fully recovered. Beyond the aforementioned cancellation fee, Solis Nature reserves the right, in its sole discretion, to levy additional penalties, surcharges on future bookings, or to take other appropriate actions, including but not limited to, adjusting Host rankings or visibility, for any Host cancellation. Hosts are expected to honor all confirmed reservations and shall only cancel bookings under legitimate unforeseen circumstances, or other events beyond their reasonable control, as determined by Solis Nature in its sole discretion. Repeated cancellations or unjustified cancellations may result in suspension or termination of the Host’s account.
7.5. In the event a Guest cancels a confirmed booking, in addition to any cancellation terms set by the Host, Solis Nature reserves the right to levy a cancellation fee, charge a penalty, and/or apply a surcharge on future bookings made by the cancelling Guest. The amount or nature of any such fee, penalty, or surcharge will be determined by Solis Nature in its sole discretion and will be charged to the Guest's selected payment method or offset against any future transactions.
7.6. Refunds to Guests shall be governed by the applicable cancellation policy of the Host as displayed on the Listing. Upon approval of a refund by the property owner or Host, the refund shall be processed within the timeframe specified by them. Payment processing times may vary depending on the payment provider.
7.7. In the event you wish to dispute a payment or initiate a chargeback, you may notify Solis Nature for assistance. However, please note that Solis Nature is not responsible or liable for any chargebacks initiated through third-party payment processors or financial institutions.
7.8. All chargeback requests must be raised directly with your respective payment provider or issuing bank, in accordance with their policies and procedures. Solis Nature may, at its sole discretion, assist in investigating or facilitating communication related to the disputed transaction but does not guarantee any refund, reversal, or recovery of funds arising from such chargebacks.
7.9. In cases where a chargeback is determined to be valid by the payment provider, Solis Nature will comply with the outcome communicated by such provider. However, Solis Nature shall not be held responsible for any delay, denial, or loss resulting from the chargeback process or decisions made by external payment processors or financial institutions.
7.10. Any dispute related to payments must be raised with Solis Nature within 24 hours of the transaction date. Solis Nature will use reasonable efforts to resolve such disputes in good faith.
7.11. Users are responsible for any applicable taxes, levy, cess, fee, or any other charges imposed by any governmental, regulatory, or local authority under applicable law, including but not limited to VAT, GST, sales tax, or occupancy taxes, in connection with their use of the Site and Services. Solis Nature will collect and remit such taxes where required to do so under applicable law.
7.12. For transactions processed by Solis Naturals Private Limited, Indian Goods and Services Tax (GST) laws shall apply. For all other jurisdictions, local VAT or other indirect or direct taxes may apply where legally required, and User shall comply with such obligations in accordance with the laws of the relevant jurisdiction.
8. HOST AND USER RESPONSIBILITIES AND LIMITATION OF LIABILITY REGARDING PROPERTIES
8.1. Nature
8.1.1. Solis Nature primarily functions as an online platform connecting Hosts with prospective Guests. While Solis Nature may own, operate, or manage certain properties listed on the Site, for all other properties, Solis Nature does not own, operate, inspect, manage, control, or take possession of them. Solis Nature is not responsible for conducting due diligence on Listings, nor does it verify, inspect, or guarantee that the condition, safety, quality, suitability, or legality of any Listings meets any particular standards or requirements. All such other Listings are offered directly by independent Hosts, who are third-party service providers. Solis Nature does not verify, inspect, or guarantee the condition, safety, quality, suitability, or legality of any Listings. Any issues, complaints, or disputes arising between Hosts and Guests shall be resolved directly between the concerned parties, and Solis Nature shall bear no responsibility or liability in connection therewith.
8.2. Host's Responsibility
8.2.1. The Host offering a Listing through the Site is solely and exclusively responsible for the accuracy of their Listing information, the condition, quality, safety, legality, and suitability of the property, and for ensuring that the property complies with all applicable laws, regulations, permits, and licenses in the relevant jurisdiction. This includes, but is not limited to, laws regarding safety, building codes, sanitation, occupancy, local taxes, and any specific permits required for short-term rentals or property sales. The Host is further solely responsible for the safety, security, well-being, and satisfaction of Users during their stay or use of the property.
8.3. User's Responsibility
8.3.1. Users are responsible for exercising their own diligence when reviewing Listings, communicating with Hosts, and complying with all Host rules and local laws during their stay or use of a property.
8.3.2. Users acknowledge and agree that any concerns regarding the condition, quality, cleanliness, or significant discrepancies of a Listing must be reported to Solis Nature within six (6) hours of their scheduled check-in time to be eligible for review.
9. SITE MANAGEMENT AND MODIFICATIONS
9.1. Solis Nature reserves the right, but not the obligation, to:
9.1.1. Monitor the Site for violations of this Agreement.
9.1.2. Take appropriate legal action, including reporting to law enforcement, against anyone who violates the law or this Agreement.
9.1.3. Refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any content or portion thereof at our sole discretion.
9.1.4. Remove from the Site or otherwise disable all files and content that are excessive in size or burdensome to our systems.
9.1.5. Manage the Site in a manner designed to protect our rights and property and facilitate proper functioning.
9.2. Solis Nature reserves the right to change, modify, remove, suspend, discontinue, or update the Site, Content, or any portion thereof at any time, for any reason, and without prior notice or liability to you. We do not guarantee continuous, uninterrupted, or secure access to the Site. You acknowledge that the Site may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Solis Nature shall not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance.
10. PRIVACY POLICY
10.1. Your privacy is critically important to us. Please review our Privacy Policy, available on www.solisnature.com/privacy-policy, which explains how we collect, use, and safeguard your personal information. By using the Site, you consent to the data practices described in our Privacy Policy. Our Privacy Policy is expressly incorporated into these General Terms by reference.
11. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURE
11.1. By visiting the Site, sending emails to us, or completing online forms, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
11.2. You hereby consent to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by you or Solis Nature via the Site. You acknowledge and agree that your affirmative act of clicking "I Agree," "Accept," "Confirm," or a similar button or checkbox, or otherwise proceeding with the use of the Site and Services (including but not limited to the booking or listing process), constitutes your express electronic signature and forms a legally binding click-wrap agreement between you and Solis Nature. You waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1. This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
12.2. In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, breach, or termination (“Dispute”), the Parties shall first attempt to resolve such Dispute amicably through mutual discussions and negotiations within thirty (30) days from the date either Party provides written notice of such Dispute to the other.
12.3. If the Parties are unable to resolve the Dispute amicably within the aforesaid thirty (30) days, such Dispute shall be referred to and finally resolved by arbitration in accordance with the applicable arbitration rules of the chosen seat of arbitration. The seat and venue of arbitration shall be Delhi International Arbitration Centre (DIAC). The seat and venue of arbitration shall be New Delhi, India.
12.4. The arbitral tribunal shall consist of a sole arbitrator mutually appointed by the Parties. The language of the arbitration shall be English. The arbitral award rendered by the tribunal shall be final and binding upon the Parties, and may be enforced in any court of competent jurisdiction.
12.5. Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any proceedings arising out of or in connection with the enforcement or challenge of the arbitral award or any interim relief sought in aid of arbitration.
13. DISCLAIMER OF WARRANTIES
13.1. THE SITE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLIS NATURE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2. SOLIS NATURE MAKES NO WARRANTY OR REPRESENTATION THAT:
13.2.1. THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
13.2.2. THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE.
13.2.3. THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.
13.2.4. ANY ERRORS ON THE SITE WILL BE CORRECTED.
13.3. YOU AGREE THAT YOUR USE OF THE SITE AND SERVICES WILL BE AT YOUR SOLE RISK. SOLIS NATURE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SITE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING. SOLIS NATURE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
14. LIMITATION OF LIABILITY
14.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLIS NATURE, ITS DIRECTORS, EMPLOYEES, AGENTS, OFFICERS, SUBSIDIARIES, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:
14.1.1. YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES;
14.1.2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
14.1.3. ANY CONTENT OBTAINED FROM THE SITE;
14.1.4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SOLIS NATURE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. INDEMNIFICATION
15.1. You agree to defend, indemnify, and hold harmless Solis Nature , its subsidiaries, affiliates, and their respective officers, agents, partners, and employees, from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys' fees and litigation expenses) arising from or in connection with:
15.1.1. Your use of the Site or Services;
15.1.2. Your breach of these General Terms or any other part of the Agreement;
15.1.3. Any breach of your representations and warranties set forth in this Agreement;
15.1.4. Your violation of a third party's rights, including but not limited to intellectual property rights or privacy rights;
15.1.5. Any illegal, negligent, or wrongful act or omission by you or any person acting on your behalf;
15.1.6. Any content or data you submit, post, transmit, or make available through the Site; or
15.1.7. Any interaction with, or conduct towards, other Users or third parties you engage with through the Site.
15.2. Solis Nature reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Solis Nature. Solis Nature will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
16. USER DATA
16.1. While Solis Nature performs regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You acknowledge that Solis Nature shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against Solis Nature arising from any such loss or corruption.
17. AML COMPLIANCE REPRESENTATIONS
17.1. You are not located in, under the control of, or a resident or national of any country or territory that is subject to any government sanctions, embargoes, or restrictions, or that has been designated by any competent authority as supporting or sponsoring terrorism.
17.2. You are not listed on any sanctions, watchlist, or restricted-party list maintained by any relevant governmental or international authority, including but not limited to the United Nations, the European Union, the United States, the United Kingdom, or any other applicable jurisdiction.
17.3. You are not acting on behalf of or in association with any individual, entity, or jurisdiction that is subject to such sanctions or restrictions.
17.4. You acknowledge and agree that Solis Nature reserves the right to conduct necessary due diligence, including Know Your Customer (KYC) and Anti-Money Laundering (AML) checks, and may request additional information or documentation to ensure compliance with applicable laws and regulations. You agree to provide such information promptly upon request.
17.5. Solis Nature further reserves the right to suspend, restrict, or terminate your account or access to the Services immediately and without notice if it reasonably suspects a breach of these representations or if required to do so under applicable law or regulatory directive.
18. GDPR AND DATA PROTECTION COMPLIANCE
18.1. 18.3. If and to the extent that Solis Nature processes personal data on your behalf as a data processor, the parties may enter into a separate Data Processing Agreement (DPA) to govern such processing activities in accordance with Article 28 of the GDPR.

21.3. No Waiver: The failure of Solis Nature to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.
21.4. Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be deemed severable from these General Terms and shall not affect the validity and enforceability of any remaining provisions.
21.5. Assignment: Solis Nature may assign any or all of its rights and obligations under this Agreement to others at any time. You may not assign your rights or obligations under this Agreement without the prior written consent of Solis Nature.
21.6. No Agency: Nothing contained in this Agreement shall be construed to create any partnership, joint venture, employment, or agency relationship between you and Solis Nature.
21.7. Force Majeure: Solis Nature shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
