IMPORTANT NOTICE
These Host Terms and Conditions ("Host Terms") are supplementary to the Solis Nature General Terms of Service ("General Terms"). By becoming a Host or listing any property on the Solis Nature platform, you explicitly agree to be bound by both these Host Terms and the General Terms. In the event of any conflict or inconsistency between these Host Terms and the General Terms, the General Terms shall prevail and govern, unless expressly stated otherwise herein.
1. INTRODUCTION
1.1. Welcome to Solis Natural B.V. ("Solis Nature," "we," "us," or "our"), a company duly registered under the laws of the Netherlands, including its holding company, affiliates, and group companies. These Host Terms govern your role as a "Host" (as defined in the General Terms) on the Solis Nature platform (the "Platform"), which allows you to list, advertise, and manage properties for short-term stays, lease, or sale
("Listings") to prospective Guests.
1.2. By accessing or using the Platform as a Host, you acknowledge that you have read, understood, and agree to be bound by these Host Terms, the Solis Nature General Terms of Service, the Solis Nature Privacy Policy, and any other policies, guidelines, or amendments that may be posted on the Site from time to time (collectively, the "Agreement"). If you do not agree with all of these Host Terms, you are expressly prohibited from using the Platform as a Host and must discontinue such use immediately.
2. DEFINITIONS
2.1. "Agreement" collectively refers to these Host Terms, the General Terms of Service, the Privacy Policy, and any specific terms applicable to your use, as well as any other policies or guidelines posted by Solis Nature, all of which are incorporated herein by reference.
2.2. "Applicable Law" means all laws, statutes, ordinances, regulations, rules, codes, by-laws, judgments, decrees, orders, governmental directives, and interpretations having the force of law, of any governmental, regulatory, judicial, or local authority, in each case as applicable to the Site, Services, Solis Nature, the Host, or the Guest, including but not limited to the laws of India as specified in the Governing Law section of the General Terms.
2.3. "Commission" refers to any fee or payment charged by Solis Nature to the Host, calculated as a percentage of the total booking value or sale price of a Listing, for services rendered in facilitating a successful booking or transaction through the Platform.
2.4. "Content" means all materials, including but not limited to text, writings, data, graphics, images, audio, video, software, photographs, and other information available on or through the Site.
2.5. "Guest" means a User who directly or indirectly purchases or books Listings, or otherwise utilizes the Services, for their personal use or for the benefit of their end-customer.
2.6. "Host" means a User who, as the owner, authorized agent, or an authorised representative, offers and makes available Listings for short-term stays, lease, or sale through the Platform, thereby assuming the legal obligations and responsibilities associated with such offering and the use of the Services.
2.7. "Host Rules" refers to specific rules, guidelines, or requirements established by a Host for their particular Listing, which must be clearly communicated to prospective Guests and comply with the Agreement and Applicable Law.
2.8. "General Terms" refers to the Solis Nature General Terms of Service, available on the Site, which govern the fundamental obligations and rights applicable to all users of our Site and are incorporated herein by reference.
2.9. "Listing" means any property, accommodation, or real estate advertised or displayed, or otherwise made available for the purpose of rent, lease, hire, or outright sale to prospective Guests or users via the Platform on the Site.
2.10. "Marks" mean trademarks, service marks, and logos owned or controlled by Solis Nature.
2.11. "Platform" means the website www.solisnature.com, including any associated mobile applications or other digital interfaces as owned and operated by Solis Nature.
2.12. "Privacy Policy" means the policy governing the collection, use, and disclosure of your information by Solis Nature, available on the Site.
2.13. "Services" means any and all services provided by Solis Nature through the Site, including but not limited to property listings, booking functionalities, payment processing, and related support.
2.14. "Site" means the website www.solisnature.com and any related digital properties, media forms, or channels.
2.15. "User" means any inpidual or entity accessing or using the Site or Services, including but not limited to Hosts and Guests.
3. HOST ELIGIBILITY AND ACCOUNT RESPONSIBILITIES
3.1. In addition to the eligibility requirements outlined in Section 3 of the General Terms, as a Host, you represent and warrant that:
3.1.1. You are the legal owner, authorized agent, or an authorized representative with full legal authority to offer the Listing(s) for rent, lease, or sale through the Platform.
3.1.2. You have obtained all necessary licenses, permits, and authorizations required by applicable laws and regulations to operate and list your property, including but not limited to, those related to short-term rentals, property sales, and local zoning laws.
3.1.3. You are fully capable of fulfilling all obligations associated with your Listings and providing a safe and satisfactory experience for Guests.
3.1.4. You agree to keep your Host account information, including property details, availability, and pricing, accurate, current, and complete at all times. Any misleading or inaccurate information may lead to the suspension or termination of your account.
4. LISTING CREATION AND MANAGEMENT
4.1. You are solely responsible for creating and maintaining accurate, complete, and up-to-date Listings. This includes, but is not limited to
4.1.1. Providing clear and honest descriptions of your property, its amenities, features, and any limitations.
4.1.2. Uploading high-quality, truthful images and/or videos that accurately represent the property. You must have all necessary rights and permissions for any content you upload.
4.1.3. Clearly stating pricing, availability, check-in/check-out times, house rules, cancellation policies, and any additional fees or charges.
4.1.4. Ensuring your Listing complies with all applicable laws, including non-discrimination policies.
4.2. You are exclusively responsible for ensuring that your Listing is safe, clean, in good repair, and suitable for occupancy or sale. This includes:
4.2.1. Maintaining the property in compliance with all relevant safety standards, building codes, health regulations, and local laws.
4.2.2. Ensuring all amenities and appliances are in working order and safe to use.
4.2.3. Disclosing any potential hazards or risks associated with the property in your Listing description.
4.2.4. Providing necessary instructions for Guests regarding the safe use of the property and its features.
4.3. You may establish reasonable "Host Rules" for your Listing, which must be clearly communicated to Guests within your Listing description. These rules must be consistent with these Host Terms and the General Terms and must not violate any applicable laws or Solis Nature policies.
4.4. You are responsible for keeping your Listing’s availability calendar and rates accurate and up-to-date to prevent double-bookings, pricing discrepancies, or cancellations. Solis Nature shall not be liable for any loss, error, or dispute arising from outdated or incorrect pricing, availability, or Listing information provided by the Host.
5. BOOKINGS, PAYMENTS, AND COMMISSIONS
5.1. By listing your property, you agree to honor all confirmed bookings made through the Platform at the stated price and terms.
5.2. Solis Nature will remit payments to you for confirmed bookings, less any applicable commissions, fees, and taxes, according to the payout schedule and method agreed upon in your Host Dashboard or separate agreement.
5.3. Commissions:
5.3.1. You agree that Solis Nature will charge a commission ("Commission") on the total booking value (or sale price, in the case of property sales) for each successful booking or transaction facilitated through the Platform.
5.3.2. The exact Commission rate will be communicated to you during the Listing creation process and will also be available for your reference under the “Commissions” tab accessible upon registration of your Host account. Solis Nature reserves the right to modify its Commission rates at any time without prior notice. Your continued use of the Platform after such modification shall constitute your acceptance of the revised Commission rates.
5.3.3. Commissions are earned by Solis Nature upon confirmation of a booking or transaction and will be automatically deducted from your payout.
5.4. You are solely responsible for calculating, collecting, reporting, and remitting any and all applicable taxes (e.g., income tax, sales tax, occupancy tax, VAT, GST) associated with your earnings as a Host and the operation of your Listing, in accordance with the laws of the relevant jurisdiction. Solis Nature will collect and remit taxes on its services where required by applicable law, as detailed in Section 7.11 and 7.12 of the General Terms.
6. CANCELLATIONS AND REFUNDS
6.1. You acknowledge the cancellation terms for Hosts outlined in Section 7.4 of the General Terms. You agree that Solis Nature may impose cancellation fees, penalties, surcharges, or take other appropriate actions for Host-initiated cancellations, especially those not due to legitimate unforeseen circumstances as determined by Solis Nature. Repeated or unjustified cancellations may lead to account suspension or termination.
6.2. You agree to abide by the cancellation policy we set for your Listing on the Platform. Solis Nature will process refunds to Guests in accordance with the respective Host Policies.
6.3. In case of disputes regarding cancellations or refunds, Solis Nature's determination, in line with its policies and the General Terms, shall be final and binding.
7. INTERACTION WITH GUESTS
7.1. You agree to communicate with Guests in a professional, timely, and respectful manner. You must use the Platform's communication tools where available.
7.2. You are responsible for providing a positive and safe experience for Guests, including:
7.2.1. Ensuring the property is clean and ready for occupancy at check-in.
7.2.2. Being available to address Guest inquiries or issues during their stay.
7.2.3. Handling any emergencies that may arise at your property.
7.2.4. Respecting Guest privacy.
7.3. While Solis Nature encourages direct resolution between Hosts and Guests, you agree to cooperate with Solis Nature in resolving any disputes or issues that may arise from a Guest's stay at your Listing, as outlined in Section 8.1.1 of the General Terms.
8. HOST-GENERATED CONTENT AND SUBMISSIONS
8.1. As per Section 6.2 of the General Terms, by providing property descriptions, images, and other listing data, you grant Solis Nature a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Listing data in connection with the operation of the Site and Solis Nature's business, including for remarketing and
promotional purposes with third-party vendors.
8.2. You represent and warrant that all information and content you provide for your Listings is accurate, not misleading, does not infringe on any third-party rights (including intellectual property, privacy, or publicity rights), and complies with all applicable laws and regulations.
8.3. Notwithstanding anything to the contrary contained herein, you expressly acknowledge and agree that Solis Nature shall have the right, at its sole discretion, to use, reproduce, modify, adapt, translate, publicly display, publish, or otherwise utilize any information, data, descriptions, images, or other content provided by you in connection with your Listing (“Host Information”) for the purposes of operating, promoting, marketing, and enhancing the visibility of the Platform, Listings, and Services.
8.4. You further agree that Solis Nature may use Host Information, in whole or in part, for its own commercial and business development purposes, including advertising, promotional activities, and partnerships, in any media now known or later developed, without any obligation of further consent, notice, or compensation to you.
9. COMPLIANCE WITH LAWS AND REGULATIONS
9.1.1. You are solely responsible for understanding and complying with all the Applicable Laws, rules, regulations, and contracts that apply to your Listings and your activities as a Host. This includes, but is not limited to:
9.1.1.1. Zoning laws, permits, and licenses required for short-term rentals or property sales.
9.1.1.2. Health and safety regulations.
9.1.1.3. Tax obligations (e.g., occupancy taxes, VAT, GST, income tax).
9.1.1.4. Homeowners' association (HOA) rules or rental agreements that may restrict your ability to host.
9.1.2. Hosts shall obtain appropriate insurance for their properties and operations. Please review your insurance policies carefully, especially regarding coverage for short-term rentals or commercial activities.
10. INDEMNIFICATION
10.1. In addition to the indemnification obligations set forth in Section 15 of the General Terms, you agree to defend, indemnify, and hold harmless Solis Nature, its subsidiaries, affiliates, and their respective officers, agents, partners, and employees, from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys' fees and litigation expenses) arising from or in connection with:
10.2. Your breach of these Host Terms.
10.3. Any property you list on the Platform, including but not limited to, issues regarding its condition, safety, legality, or suitability.
10.4. Any injury, death, or property damage occurring at or in connection with a Listing you offer.
10.5. Your failure to comply with any applicable laws, regulations, permits, or licenses related to your Hosting activities.
10.6. Any dispute or claim between you and a Guest.
11. TERMINATION AND SUSPENSION
11.1. Solis Nature reserves the right to suspend or terminate your Host account and access to the Platform and Services immediately and without notice, in addition to the grounds for termination listed in the General Terms, if:
11.1.1. You breach these Host Terms or any other part of the Agreement.
11.1.2. You provide false, misleading, or inaccurate Listing information.
11.1.3. You repeatedly cancel confirmed bookings without legitimate justification.
11.1.4. Your Listings receive frequent or severe complaints from Guests regarding safety, cleanliness, or significant discrepancies.
11.2. Solis Nature, in its sole discretion, determines that your continued use as a Host poses a risk to the Platform, other Users, or third parties, or harms the reputation of Solis Nature.
11.3. Upon termination, all Listing data and associated content may be removed from the Platform, and any outstanding payouts or fees will be settled according to Solis Nature's policies.
12. CONFLICTS AND PREVALENCE
12.1. In the event of any conflict or inconsistency between these Host Terms and the Solis Nature General Terms of Service, the provisions of the Solis Nature General Terms of Service shall prevail and govern.
13. MISCELLANEOUS
13.1. All other miscellaneous provisions outlined in Section 21 of the General Terms shall apply equally to these Host Terms.
